Welcome to 52. These Terms of Service ("Terms") govern your use of the 52 mobile application (the "App") operated by Coffee Valley Limited ("we," "us," or "our").
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE APP. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.
1. Description of Service
52 is a photo memories application that:
- Organizes the photos already on your device by location, trips, places, and meaningful moments
- Builds a travel passport, statistics, and a map from the location and date information embedded in your photos
- Reads your step count from Apple Health, with your permission, to show how many steps you walked on a trip
- Offers an optional paid subscription, "52 Max," that unlocks additional features
All photo analysis and organization happens on your device. We do not receive, upload, or store your photos. The App is for personal, entertainment, and memory-organization purposes only.
2. Eligibility
You must be at least 13 years old to use the App. By using the App, you represent and warrant that:
- You are at least 13 years old
- You have the legal capacity to enter into these Terms
- You are not prohibited from using the App under any applicable law
If you are between 13 and 18 years old, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and takes full responsibility for your compliance with these Terms.
3. Acceptable Use
Permitted Use
You may use the App only for lawful, personal, non-commercial purposes in accordance with these Terms.
Prohibited Conduct
You agree NOT to:
- Use the App for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to the App or our systems
- Interfere with or disrupt the App's functionality or servers
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use any automated means (bots, scrapers, etc.) to access or use the App
- Transmit viruses, malware, or other harmful code
- Circumvent any security features, access controls, or subscription paywalls
- Use the App in any way that could damage, disable, or impair our services
- Resell, redistribute, sublicense, or commercially exploit the App, its features, or a 52 Max subscription
Consequences of Violation
We reserve the right to suspend or terminate your access to the App immediately, without notice, if we determine that you have violated these Terms. We may also report illegal activities to law enforcement authorities.
4. Your Content and Photos
Ownership
You retain full ownership of all photos and content on your device. We do not claim any ownership rights over your photos or content.
We Do Not Access Your Photos Remotely
The App organizes your photos entirely on your device. We do not receive, upload, transmit, or store your photos, your photo location metadata, your contacts, or your Health data on our servers. Because of this, you do not need to grant us any license to your photos in order to use the App.
Your Responsibility
You are responsible for the photos and data on your device and for maintaining your own backups. We are not responsible for any loss, corruption, or unauthorized access to data on your device.
5. 52 Max Subscription
Overview
52 Max is an optional paid subscription that unlocks additional features within the App. The core features of the App are available without a subscription.
Billing and Renewal
- 52 Max is offered through Apple's App Store via in-app purchase, on a monthly or annual basis
- Payment is charged to your Apple Account at confirmation of purchase
- Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period
- Your Apple Account will be charged for renewal within 24 hours prior to the end of the current period, at the then-current price
- You can manage or cancel your subscription at any time in your Apple App Store account settings
Refunds
- Billing, cancellation, and refund requests for 52 Max are managed by Apple and governed by Apple's standard terms and policies
- We do not have the ability to process refunds for App Store subscription payments directly. For refund requests, contact Apple Support
- Cancelling your subscription stops future renewals but does not entitle you to a refund for the current billing period
Changes to the Subscription
We reserve the right to modify the features included in 52 Max, and to change subscription pricing, with reasonable notice. Price changes will not affect your current billing period. We may add, remove, or change Max features at any time; a subscription is a license to access the features offered at the time, not a guarantee that any specific feature will remain available.
6. Photo Organization and Accuracy
You acknowledge and agree that:
- The App's organization features rely on the location and date metadata embedded in your photos, which may be incomplete, inaccurate, or missing
- Trip detection, place and region recognition, distances, maps, statistics, and memory suggestions are produced by automated algorithms and on-device boundary data, and may contain errors or produce unexpected results
- We do not guarantee the accuracy, completeness, or reliability of any trip detection, place name, region, map, count, or other result the App generates
- Photo groupings, trips, and suggestions are provided for convenience and personal enjoyment only and should not be relied upon as an accurate record
- We are not responsible for any decisions you make based on the App's organizational features
Health and Step Data
- With your permission, the App reads your step count from Apple Health to display steps walked on a trip as a fun statistic
- Step counts are read-only, are processed on your device, and depend on the accuracy of your device's sensors and Apple Health data
- We do not guarantee the accuracy of any step count or related statistic. These figures are for entertainment only and should not be relied upon for any health, fitness, or medical purpose
7. Intellectual Property
Our Intellectual Property
The App, including but not limited to its design, user interface, features, graphics, logos, icons, images, text, software, and content (excluding your photos), is owned by Coffee Valley Limited or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, adapt, or create derivative works of the App
- Distribute, license, sell, or transfer the App or any portion thereof
- Reverse engineer, decompile, disassemble, or attempt to derive the source code
- Remove, alter, or obscure any proprietary notices
- Use our trademarks, logos, or branding without prior written permission
- Frame or mirror any part of the App
Feedback
If you provide us with any feedback, suggestions, ideas, or recommendations regarding the App ("Feedback"), you hereby grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Feedback without compensation, attribution, or obligation to you.
8. Disclaimers
"AS IS" AND "AS AVAILABLE"
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR RESULT
- WARRANTIES THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
Device and Data
You acknowledge and agree that:
- The App requires access to your photo library and may request access to your contacts and Apple Health
- We are not responsible for any data loss, corruption, or unauthorized access to data on your device
- You are solely responsible for backing up your photos and data
- The App may not function properly on all devices or operating system versions, and we do not guarantee compatibility with your device
Third-Party Services
The App integrates with third-party services for subscription management (RevenueCat), payments (Apple), and analytics. You acknowledge that:
- We are not responsible for the availability, accuracy, reliability, or performance of third-party services
- Third-party services are subject to their own terms and privacy policies
- We are not liable for any acts or omissions of third-party service providers
No Professional Advice
Nothing in the App constitutes professional, medical, fitness, or other advice of any kind. The App is for personal entertainment and memory organization only.
9. Limitation of Liability
Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COFFEE VALLEY LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption
- Loss of goodwill or reputation
- Any damages arising from:
- Your use of or inability to use the App
- Any errors, mistakes, or inaccuracies in trip detection, place names, statistics, or other content
- Unauthorized access to or alteration of data on your device
- Third-party conduct, content, or services
- Any other matter relating to the App
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Maximum Liability
OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE LESSER OF:
- The amount you paid us (through 52 Max) in the 30 days preceding the claim, OR
- HKD 100
THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
Jurisdictional Limitations and Statutory Rights
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. If you are a consumer in the European Union or United Kingdom, you retain all rights afforded to you under applicable EU or UK consumer protection law, and nothing in these Terms limits those rights.
10. Indemnification
You agree to defend, indemnify, and hold harmless Coffee Valley Limited, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, expenses, and fees (including reasonable attorneys' fees) arising from or related to:
- Your use of the App
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third party's rights, including intellectual property rights
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of any such claim.
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, civil unrest, government actions, epidemics or pandemics, strikes, power or telecommunications failures, internet or network failures, third-party service provider failures, or any other events beyond our reasonable control.
12. Modifications to Service and Terms
Changes to the App
We reserve the right, at any time and without notice, to modify, suspend, or discontinue any feature or functionality of the App, change subscription pricing or the features included in 52 Max, or impose new limitations on use of the App. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.
Changes to Terms
We may update these Terms at any time by posting the revised Terms on our website or within the App. The "Last Updated" date will be revised accordingly. Your continued use of the App after any changes constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to notify you through the App or other means.
13. Termination
By You
You may stop using the App at any time by deleting it from your device. To cancel 52 Max, manage your subscription in your Apple App Store account settings — deleting the App does not automatically cancel your subscription billing.
By Us
We may suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including violation of these Terms, suspected fraudulent or illegal activity, request by law enforcement, technical or security issues, discontinuation of the App, or any other reason at our sole discretion.
Effect of Termination
Upon termination, your right to use the App will cease immediately. Active subscriptions must be cancelled through Apple's App Store; termination of your App access does not automatically cancel your subscription billing. All provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.
14. Governing Law and Disputes
Governing Law
These Terms and any dispute arising from or relating to these Terms or the App shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law principles.
Exclusive Jurisdiction
You agree that any legal action or proceeding arising from or relating to these Terms or the App shall be brought exclusively in the courts of Hong Kong Special Administrative Region, and you consent to the exclusive jurisdiction and venue of such courts.
Informal Resolution
Before filing any legal claim, you agree to first contact us at info@getfiftytwo.com and attempt to resolve the dispute informally for at least 30 days.
Time Limitation
You agree that any claim or cause of action arising from or relating to these Terms or the App must be filed within one (1) year after the event giving rise to the claim, or be forever barred.
Binding Arbitration
TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING FROM OR RELATING TO THESE TERMS OR THE APP (OTHER THAN CLAIMS FOR INJUNCTIVE OR OTHER EQUITABLE RELIEF, OR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT) SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. This arbitration provision does not apply to users who are consumers habitually resident in the European Union, United Kingdom, or any other jurisdiction where mandatory arbitration for consumer disputes is prohibited by applicable law — such users retain the right to bring claims before their local courts.
Waiver of Class Actions
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. This class action waiver does not apply to consumers in jurisdictions where such waivers are not enforceable by law.
15. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coffee Valley Limited regarding the App and supersede all prior agreements, understandings, and communications.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.
Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
Electronic Communications
By using the App, you consent to receive electronic communications from us, including push notifications and in-app messages, and you agree that such communications satisfy any legal requirement that they be in writing.
Language
These Terms are written in English. Any translation is provided for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.
Acknowledgment
BY USING THE APP OR SUBSCRIBING TO 52 MAX, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE APP.
